How it works
Dataroom access by group
The Access tab of the dataroom is where the deal team decides who sees what: a grid of investor groups against folders, each cell granting view or download. Download only ever applies to spreadsheets: a group with it can keep a copy of the spreadsheets it can view, as can any contributing advisor on the raise (an Excel copy is stamped with who took it and when, and every download is logged), and every other file only opens in the viewer. Per-document grants sit on top for the cases where a folder grant is too broad. Every raise has Sophisticated and Retail groups, and under Investor groups the deal team can press New group to make its own, such as one for a single firm's team, starting from the same folders as an existing group; it becomes a column in the grid, so one folder can be opened or closed for those investors alone. Move to… on an investor's row puts them in another group, and what they can open changes straight away; the move is on the audit trail. Gets new folders on each group decides whether a folder added later opens to it, so a group meant to see only what it is given stays that way, and a file uploaded into a folder starts visible only to the groups that can already open the folder. A group only decides access, never how an investor counts against the small-scale caps, which comes from their certificate. Investors never see the grid or the group names, only their effect: folders they were not granted simply do not exist for them.
