How it works
The register of members
The register of members is the company's live cap table: every holder, class and parcel, kept current across every raise and exportable in the s169 shape. Its Ledger tab is the append-only record behind it; every issue, transfer, buyback, cancellation, split and consolidation is recorded there in order, and the register is what those transactions add up to. A bare-trust holder expands to its recorded members; where one of them is a company, the trustee's s1072E(11) notice is drafted from the row and recorded once given. A holder that holds as trustee or nominee shows a line asking for its non-beneficial notice: the register can only mark a holding that way on the strength of one, so Struck drafts it for the holder to sign and the company records when it arrived, and a later issue to that holder asks again. Print copy gives the written copy of the register the company must hand anyone entitled to one within 7 days of asking. The Rounds table lists every round that put shares on the register, with its date, price and what it raised; a past round can be recorded with new holders, or given shares already on the register, so a cap table imported as one total per holder can be sorted into its rounds. Shares taken up on incorporation are ordinary shares, and the founding issue is recorded as a round of type Incorporation rather than as a class of its own.
